甲方在取得相關(guān)承包農(nóng)戶的認(rèn)同及書面土地流轉(zhuǎn)委托書及___后，依照國(guó)家法律法規(guī)和有關(guān)土地政策，本著自愿平等的原則，經(jīng)與乙方充分友好協(xié)商，就乙方租用甲方所轄____用地籌建___事宜達(dá)成以下協(xié)議：
After Party A gained the consent and written letters of authorization for land circulation from the associated contract holding farm households and ____ and based on principles of free will and equality as well as the national laws, regulations and land policies, Party A and Party B have reached agreement, through friendly negotiations, on Party A’s leasing land planned ___to Party B for the purpose to build ____as follows,
一、租賃范圍：Lease Scope
二、租賃期限：Lease Duration
(1). 乙方租賃甲方土地的年限為___年___個(gè)月(不得超過甲方農(nóng)戶的土地承包年限)，自_____年___月___日至____年___月___日(“租賃期限”)。____年___月___日租賃起始日。
Party A will lease the Lease Land to Party B for ___ years and ___ months starting from __ to ___ (the lease duration should be within the land contract period of the contract holding farm household contract) (hereinafter referred to as “Lease Duration”). ___ is the leasing commencement date.
(2). 租賃期限期滿后如乙方需繼續(xù)租賃，則須在租賃期限期滿前___個(gè)月通知甲方協(xié)商。在同等條件下，乙方對(duì)該租賃土地有優(yōu)先承租權(quán)。
In case Party B wants to continue leasing the land upon the expiration of the Lease Duration, Party B should inform Party A for negotiation ___ months prior to the expiration of the Lease Duration. Under the same conditions, Party B has the right of first refusal for renting the Lease Land.
三、租賃費(fèi)用：Lease Price
(1). 雙方一致同意，該租賃土地的第一租約年年租金為每畝人民幣_(tái)__元。以租賃起始日起至次年的同期前一日為第一個(gè)租約年，以后每12個(gè)月的期間為一個(gè)租約年。
The parties agree that the annual rent for the Lease Land for the first lease year is ___RMB for each mu. The first lease year refers to the period starting from the leasing commencement date to the date immediately preceding the same date of the following year and, thereafter, the time of each 12-month period constitutes one lease year.
(2). 每個(gè)租約年的租金由乙方于每年____前向甲方一次性支付，如因乙方的原因逾期未付，則乙方每逾期一日按逾期欠付租金金額的___‰承擔(dān)逾期付款滯納金，但是逾期付款滯納金的總額不得超過當(dāng)年租金的___%。
Party B shall pay the annual rent for each lease year to Party A in lump sum by the end of each May without delay. Should the rent payment be delayed due to Party B’s sake, Party B shall pay a late payment fee calculated at a daily __‰ of the unpaid rent price for each day delayed in payment, provided, however, that the total sum of the late payment fee shall not be higher than ___% of the annual rent.
(3). 甲方需在乙方支付租金之前___日，就應(yīng)付租金向乙方出具合法有效的相關(guān)發(fā)票，若因甲方未能及時(shí)出具合法有效的相關(guān)發(fā)票導(dǎo)致乙方未按期支付租金的，乙方不承擔(dān)逾期付款的責(zé)任。
Party A shall provide Party B with the relevant legal and valid invoices 20 days before Party B makes the rent payment. Should Party B fail to make timely payment of the rent due to Party A’s failure to timely provide the relevant legal and valid invoices, Party B shall not incur any liability for the delayed payment.
(4). 對(duì)于因甲方原因?qū)е乱曳讲荒苋缙谥Ц蹲饨鸬�，乙方不承�?dān)逾期付款違約責(zé)任。
Party B shall not incur liabilities for delayed payment of rent if such Party B’s delay in payment of rent is caused by Party A.
(5). 甲方在收到乙方的每筆租金后，必須按照各承包農(nóng)戶的土地面積及上述約定的租金標(biāo)準(zhǔn)，及時(shí)按比例向相關(guān)農(nóng)戶進(jìn)行發(fā)放，如果因甲方原因而引發(fā)承包農(nóng)戶與乙方之間的矛盾，甲方必須承擔(dān)全部責(zé)任。如果因承包農(nóng)戶與乙方之間的矛盾而造成乙方遭受損失的，甲方應(yīng)賠償乙方因此而遭受的全部損失(如適用)。
After receiving the payment of rent from Party B, Party A shall promptly pay such rent payment to the contract holding farm households in proportion to the land area of each of the contract holding farm households according to the rent standard agreed above. Should any disputes occur between Party B and the contract holding farm households due to Party A’s cause, Party A shall take full responsibility for such disputes. Should Party B incur any losses caused by disputes between Party B and the contract holding farm households, Party A shall compensate Party B for all the losses so suffered by Party B (if applicable).
四、其他約定：Miscellaneous terms
(1). 乙方在租賃期限內(nèi)必須遵守國(guó)家的法律法規(guī)，保護(hù)當(dāng)?shù)丨h(huán)境，做好環(huán)評(píng)，并搞好衛(wèi)生防疫工作。因乙方的養(yǎng)雞污染而造成的直接損失由乙方負(fù)責(zé)承擔(dān)。
Party B shall comply with all the related laws and regulations of the state and protect the local environment, fulfill environment assessment work as well as perform hygiene and quarantine duties. In case any direct damage caused by the pollution from Party B’s broiler breeding farm, Party B should be responsible for the related compensation.
(2). 乙方租用甲方所轄土地，在簽訂本土地租賃協(xié)議書后，應(yīng)向甲方一次性支付農(nóng)作物補(bǔ)償費(fèi)____元/畝，其他費(fèi)用：____元。甲方需在乙方支付補(bǔ)償費(fèi)之前____日，就前述補(bǔ)償費(fèi)向乙方出具合法有效的相關(guān)發(fā)票。若因甲方未能及時(shí)出具合法有效的相關(guān)發(fā)票導(dǎo)致乙方未按期支付前述補(bǔ)償費(fèi)的，乙方不承擔(dān)逾期付款的責(zé)任。對(duì)于因甲方原因?qū)е乱曳讲荒苋缙谥Ц堆a(bǔ)償費(fèi)的，乙方不承擔(dān)逾期付款違約責(zé)任。
Upon the execution of this Land Lease Agreement, Party B shall pay to Party A the lump sum price of crop compensation allowance based on the rate of ___RMB/mu and other compensation allowance totally: ____ for the land leased by Party B from Party A. Party A shall provide Party B with the relevant legal and valid invoices ___ days before Party B pays the compensation allowance. Should Party B fail to make timely payment of the compensation allowance due to Party A’s failure to timely provide the relevant legal and valid invoices, Party B shall not incur any liability for the delayed payment.
(3). 甲方收到補(bǔ)償費(fèi)后須根據(jù)各承包農(nóng)戶的土地面積及所種作物品種及上述約定的補(bǔ)償費(fèi)標(biāo)準(zhǔn)按比例向承包農(nóng)戶支付。如果因甲方原因而引發(fā)承包農(nóng)戶與乙方之間的矛盾，甲方必須承擔(dān)全部責(zé)任。如果因承包農(nóng)戶與乙方之間的矛盾而造成乙方遭受損失的，甲方應(yīng)賠償乙方因此而遭受的全部損失。
Party B shall not incur liabilities for delayed payment of compensation allowance if such Party B’s delay in payment of compensation allowance is caused by Party A. Party A shall, upon receiving such compensation allowance from Party B, pay the compensation allowance to the contract holding farm households according to the land area and the type of the crop or plant of each of the contract holding farm households and according to the compensation allowance standards agreed above. Should any disputes occurs between Party B and the contract holding farm households due to Party A’s cause, Party A shall take full responsibility for such disputes. Should Party B incur any losses caused by disputes between Party B and the contract holding farm households, Party A shall compensate Party B for all the losses so suffered by Party B.
(4). 本租賃協(xié)議終止或期滿后，乙方須做好租賃土地的清理復(fù)墾工作，然后將租賃土地退還給甲方;如果清理復(fù)墾工作由甲方完成的話，則乙方須合理承擔(dān)相關(guān)的復(fù)墾費(fèi)用。該相關(guān)復(fù)墾費(fèi)用復(fù)墾期間的土地租金由雙方在復(fù)墾工作開始時(shí)協(xié)商并書面確認(rèn)。
After the termination or expiration of this Lease Agreement, Party B is required to recover the Lease Land for re-cultivation purpose and then return the Lease Land to Party A; if the land re-cultivation recovery work is performed by Party A, then Party B should be responsible for the related expenses of the re-cultivation recovery work. Such related expenses of the re-cultivation recovery work and the rent during the land re-cultivation recovery period shall be negotiated by the Parties and confirmed in writing at the time when the re-cultivation recovery work begins.
(5). 甲方有責(zé)任協(xié)調(diào)乙方與本協(xié)議涉及的承包農(nóng)戶以及當(dāng)?shù)仄渌用耖g的關(guān)系。乙方在項(xiàng)目建設(shè)和生產(chǎn)過程中因承包戶、當(dāng)?shù)鼐用?包括周邊群眾)等人為因素迫使乙方停工、停產(chǎn)或減產(chǎn)的,甲方必須全力配合乙方, 及時(shí)協(xié)調(diào)解決。若在_____天內(nèi)未能協(xié)調(diào)解決，由此給乙方造成損失的，甲方必須賠償乙方的.全部損失。在問題協(xié)調(diào)解決并且乙方恢復(fù)正常建設(shè)工作或正常經(jīng)營(yíng)活動(dòng)前，乙方有權(quán)緩付租金并且不承擔(dān)逾期付款違約責(zé)任;如果問題未能在____天之內(nèi)解決，則乙方有權(quán)從任何應(yīng)付租金中扣除問題未解決期間天數(shù)的相應(yīng)租金金額;如果因甲方未能及時(shí)協(xié)調(diào)解決前述問題，導(dǎo)致本協(xié)議無(wú)法履行或本協(xié)議目的不能實(shí)現(xiàn)，乙方有權(quán)以書面通知方式解除本協(xié)議并且要求甲方賠償乙方遭受的全部損失，包括本協(xié)議無(wú)法履行或本協(xié)議目的不能實(shí)現(xiàn)所遭受的預(yù)期利潤(rùn)損失。
Party A has the obligation to coordinate the relationship between Party B and all contract holding farm households and other local residents. If, during the construction period or production period of the Project, Party B’s construction and production process is suspended or Party B’s production is reduced due to reasons of the contract holding farm households or local residents (including surrounding residents), Party A shall fully cooperate with Party B to promptly solve the problems. If the problems are not solved within ___ days causing losses to Party B, Party A shall compensate Party B for all the losses so suffered by Party B. Before the problems are solved and Party B’s normal construction work or normal operation is resumed, Party B has the right to withhold rent payment without any liabilities for late payment; If the problems have not been resolved within ___ days, then Party B shall have the right to deduct from any payable rent the amount of the corresponding rent for the days of the period for which the problems have not been resolved; If this Lease Agreement cannot be performed or the purpose of this Lease Agreement cannot be achieved due to Party A’s failure to coordinate and solve the aforesaid problems, Party B shall have the right to terminate this Lease Agreement by giving Party A a written notice and to request Party A to compensate Party B for all losses suffered by Party B, including the expected profits lost due to the non-performance of this Lease Agreement or the failure of the purpose of this Lease Agreement.
(6). 在乙方租賃期內(nèi)，甲方承諾并負(fù)責(zé)監(jiān)督、協(xié)調(diào)下述事宜：在本村區(qū)域內(nèi)距乙方租賃土地的_____飼養(yǎng)場(chǎng)___公里范圍內(nèi)，甲方不得自建或把所轄土地租賃給他人建辦養(yǎng)禽場(chǎng)，以防疫病的相互感染，進(jìn)而影響乙方的生產(chǎn)，但是截至本協(xié)議簽訂之日已存在的養(yǎng)禽場(chǎng)除外;在租賃期限內(nèi)，甲方確保，在乙方租賃土地的_____場(chǎng)周圍___公里且屬于本村區(qū)域的范圍內(nèi)不得再建造影響乙方生產(chǎn)和防疫的其他任何建筑設(shè)施。如果因甲方違反前述承諾，給乙方造成損失的，甲方必須賠償乙方的全部損失。如果因甲方違反前述承諾導(dǎo)致本協(xié)議無(wú)法履行或本協(xié)議目的不能實(shí)現(xiàn)，乙方有權(quán)以書面通知方式解除本協(xié)議并且要求甲方賠償乙方遭受的全部損失，包括本協(xié)議無(wú)法履行或本協(xié)議目的不能實(shí)現(xiàn)所遭受的預(yù)期利潤(rùn)損失。
During the Lease Duration, Party A commits and undertakes to supervise and coordinate the following matters: except for the chicken farms existing on the execution date of this Agreement, for the sake of disease control to avoid threads to undermine Party B’s production, Party A should not build or lease the land under its control to any third party to build _____ farms within the area of ___ kilometer radius from Party B’s ____farm on the Lease Land within the village; During the Lease Duration, Party A shall ensure that no structure or building that affects Party B’s production and quarantine be built within the area, which belongs to the village of Party A and which is within ___ kilometer radius from Party B’s ___ farm on the Lease Land. If Party A breaches the aforesaid commitments causing losses to Party B, Party A shall compensate Party B for all the losses so suffered by Party B. If this Lease Agreement cannot be performed or the purpose of this Lease Agreement cannot be achieved due to Party A’s breach of the aforesaid commitments, Party B shall have the right to terminate this Lease Agreement by giving Party A a written notice and to request Party A to compensate Party B for all losses suffered by Party B, including the expected profits lost due to the failure of the performance of this Lease Agreement or the failure of the purpose of this Lease Agreement.
(7). 在租賃期限內(nèi)，如遇國(guó)家土地征用或市政府對(duì)土地的規(guī)劃性調(diào)整情形，雙方應(yīng)予以服從和配合。此種情況下任何一方均不得追究對(duì)方的違約責(zé)任。有關(guān)部門因此而支付的土地補(bǔ)償費(fèi)歸甲方支配和發(fā)放，但乙方在租賃土地上投資的建筑物、設(shè)施和設(shè)備所獲的補(bǔ)償費(fèi)應(yīng)歸乙方所有。甲方有義務(wù)再為乙方協(xié)調(diào)落實(shí)新的租賃土地，以供乙方的搬遷使用。
During the Lease Duration, if there is government land expropriation or rezoning, both parties should comply with such expropriation and rezoning and cooperate. No Party shall claim any breach liability against the other under such circumstance. The land compensation paid by the relevant government agencies for such event shall belong to Party A while the compensation for all the structures, facilities and equipment of Party B on the Lease Land shall belong to Party B. Party A shall have the obligation to coordinate to seek land for lease for Party B to relocate Party B’s properties.
五、甲、乙雙方應(yīng)共同遵守本協(xié)議各條款。如有任何一方違約，違約方必須賠償對(duì)方因此所遭受的全部損失。
Both Party A and Party B shall follow the terms of this Lease Agreement. Should any party commit any breach of this Lease Agreement, the breaching party shall compensate the other Party for all losses so suffered.
六、本委任協(xié)議由中、英文兩種文編訂，如果任何內(nèi)容發(fā)生歧義時(shí)，應(yīng)以中文為準(zhǔn)。
This Agreement is in both Chinese and English. In the event of any discrepancies between the two languages, the Chinese version shall prevail.
七、本協(xié)議未盡事宜，可由雙方通過協(xié)商達(dá)成補(bǔ)充協(xié)議(補(bǔ)充協(xié)議與本協(xié)議具有同等法律效力)。發(fā)生爭(zhēng)議應(yīng)先由雙方協(xié)商解決。如果協(xié)商不成，任何一方均可依法向____人民法院提起訴訟。
For matters not covered by this agreement, the Parties may reach supplemental agreement through negotiation (supplemental agreement shall have equal legal effect as this agreement). Disputes should first be resolved by the Parties through negotiation. In case the negotiation fails, either Party may bring law suits before the ____court.
八、本協(xié)議經(jīng)甲乙雙方蓋章簽字，經(jīng)有關(guān)部門鑒證，且____建設(shè)項(xiàng)目經(jīng)____省發(fā)改委批準(zhǔn)立項(xiàng)、____省商務(wù)主管部門批準(zhǔn)、鄉(xiāng)(鎮(zhèn))人民政府同意并通過縣級(jí)畜牧主管部門審核備案及縣級(jí)國(guó)土部門備案后生效。本協(xié)議一式六份，甲、乙雙方各執(zhí)二份，甲方主管部門一份， ____備案一份。
8. This Agreement will become effective after the Agreement is signed and affixed with the corporate seals by both Parties and authenticated by the related government departments as well as after the___ project is approved by the provincial development and reform commission of ___ Province for project listing and approved by the provincial department of commerce of ___ Province and consented to by the people’s government of the township (town), approved by and filed with the competent stockbreeding authority of the county and filed with the department of state-owned land and natural resources of the county. With the consensus and authorization of the farmers within the organization of Party A, Party A and Party B have signed “Land Lease Agreement” on_____. Now both parties agree to sign this Land Lease Supplement Agreement on anti-corruption matters as follows:
甲乙雙方承諾，在根據(jù)《土地租賃協(xié)議書》和《服務(wù)協(xié)議書》進(jìn)行活動(dòng)的過程中及其與《土地租賃協(xié)議書》和《服務(wù)協(xié)議書》下的任何資產(chǎn)或財(cái)物有關(guān)的事項(xiàng)中，雙方將嚴(yán)格遵守中國(guó)反腐敗和反賄賂的所有法律和規(guī)定。甲方特此承諾：甲方向乙方出租土地和提供服務(wù)期間，甲方不會(huì)：
Party A and Party B commit to strictly abide by all Chinese laws and regulations of anti-corruption and anti-bribery in the course of activities under the Land Lease Agreement and the Service Agreement and in dealing with any assets or property-related matters relating to Land Lease Agreement and Service Agreement. Party A hereby specially commits: in the course of leasing land to Party B and providing Party B with services, Party A will not
(1)使用任何資金進(jìn)行與政治活動(dòng)相關(guān)的任何非法捐獻(xiàn)、饋贈(zèng)、款待或者其他非法支付，或使用任何資金來(lái)影響政府機(jī)構(gòu)的行為;(2)向任何外國(guó)的或國(guó)內(nèi)的政府官員或者政府員工(不論全職工還是合同工)做出任何直接或間接的非法支付;(3)支付或者收取任何賄賂、好處費(fèi)、影響性支付、回扣或其他不適當(dāng)?shù)目铐?xiàng);或(4)向任何政府官員或者政府員工做出可被視為賄賂或非法的任何其他類似的付款、饋贈(zèng)或給予具有價(jià)值的任何物品。
(i) use any funds for any unlawful contribution, gift, entertainment or other unlawful expenses relating to political activity or to influence official action; (ii) make any direct or indirect unlawful payment to any foreign or domestic government official or employee (whether full time or contract); (iii) make or receive any bribe, payoff, influence payment, kickback or other improper payment; or (iv) make any other similar type payments or gifts or give anything of value to any government official or employee that could be deemed a bribe or unlawful.
此外，甲方進(jìn)一步承諾：甲方不將任何款項(xiàng)(包括但不限于甲方在《土地租賃協(xié)議書》和《服務(wù)協(xié)議書》項(xiàng)下所收取的包括服務(wù)費(fèi)在內(nèi)的任何款項(xiàng))的任何部分用于違反中國(guó)法律的目的和行為，不用于賄賂或者商業(yè)賄賂;在向乙方出租土地和提供服務(wù)的過程中，甲方不得有任何違反中國(guó)法律的目的和行為，不得存在賄賂或者商業(yè)賄賂或其他違反中國(guó)法律的行為。
In addition, Party A further commits: any part of any fund (including but not limited to any funds, service fee included, that Party A receives under the Land Lease Agreement and the Service Agreement) should not be used for purpose or acts of violation of the Chinese law, nor should it be used for bribery or commercial bribery; in the course of leasing land to Party B and providing Party B with service, Party A should not have any purpose and acts of violation of Chinese law and should not have acts of bribery, commercial bribery or any other violations of Chinese law.
乙方有權(quán)在《土地租賃協(xié)議書》約定的租賃期限內(nèi)的任何時(shí)候以及該租賃期限終止或期滿后的二年內(nèi)的任何時(shí)候，以提前二天通知甲方后，檢查和審計(jì)甲方的所有財(cái)務(wù)記錄以確保本條款的要求得到執(zhí)行。如果甲方違反本條款的任何規(guī)定或存在賄賂或者商業(yè)賄賂或其他違反中國(guó)法律的行為，不論本協(xié)議中有何相反規(guī)定，乙方都有權(quán)立即終止《服務(wù)協(xié)議書》、《土地租賃協(xié)議書》及與甲方的一切其他協(xié)議和交易。如果甲方的賄賂或者商業(yè)賄賂或其他違反中國(guó)法律的行為給乙方造成損失的，甲方應(yīng)負(fù)全部責(zé)任，需賠償乙方(包括乙方的員工、董事、管理人員、股東和關(guān)聯(lián)公司及關(guān)聯(lián)公司的員工、董事、管理人員和股東，)由此遭受的所有直接及間接責(zé)任、成本、損失和費(fèi)用(包括但不限于任何法律顧問費(fèi)用)。
Party B has the right to inspect and audit, at any time during the Lease Duration stipulated in the Land Lease Agreement or at any time within 2 years after the termination or expiration of the Lease Duration, all records of Party A to ensure compliance with the terms of this provision upon giving two-day prior notice to Party A. If Party A commits any bribery, commercial bribery or other acts in violation of the Chinese law or breaches any terms of this provision, notwithstanding anything to the contrary contained in this Agreement,, Party B shall have the right to immediately terminate the Service Agreement, the Land Lease Agreement and all other agreements and transactions with Party A. If Party B suffers any losses due to Party A’s bribery, commercial bribery or other acts in violation of Chinese law, Party A should take full responsibilities and compensate Party B (including its employees, directors, managers, shareholders and affiliates and affiliates’ employees, directors, managers, shareholders) for all its direct and indirect liabilities, costs, losses and expenses (including, but not limited to, any attorney fees.
甲、乙雙方同意，本土地租賃補(bǔ)充協(xié)議是對(duì)雙方于___年__月__日所簽訂的土地租賃協(xié)議書的補(bǔ)充，與土地租賃協(xié)議書具有同等法律效力。
